Submitting this application form does not obligate either party in any way and it does not constitute an
offer.

By signing this document you declare as follows:

I acknowledge that if any information contained in this application form is false or misleading in
any way, Gong Cha England shall have the right to terminate any franchise agreement entered
into on the basis of the information contained in this application form.
I acknowledge that Gong Cha England may retain copies of this application form for records and
may provide the information contained in this application form to its advisers, including its
accountants, lawyers and consultants.

Non-Disclosure Document

I undertake to Gong Cha England to:

Keep the Confidential Information confidential at all times;
Not disclose the Confidential Information at any time (unless authorised by Gong Cha England, required by law or if the information is already public knowledge) to any person;
Only use the Confidential Information as authorised by Gong Cha England (e.g. for the purpose of evaluating and making a decision whether or not to enter into a Gong cha franchise agreement) and not for the benefit of myself or any other person (especially a competitor of Gong cha);
Not make any copies of the Confidential Information; and
Return all the Confidential Information in my possession or under my control to Gong cha when requested.

what connection (if any) you have in the relevant area. The information you provide
would be helpful in Gong cha’s assessment but does not mean you will necessarily be
awarded the territory which you have expressed an interest.
You have expressed to us your interest (“Expression of Interest”) to acquire from us a
franchise to operate a “Gong cha” franchised business (“Franchised Business”) in the
Territory set out above.

Declaration

You consent to us conducting further enquiries about you and in relation to such information as may be necessary to assist us in evaluating your Expression of Interest (including credit checks on you/your company/business and other proposed principals in the franchise).
You confirm that all the information you provide in this form or from time to time disclosed to us in the course of your interest in acquiring a Gong cha Franchised Business is true and correct in all respects and not misleading. We have the right to obtain more information from you to assess your application.
You acknowledge that Gong cha has not represented that in accepting and considering your Expression of Interest, Gong cha will necessarily consider you a suitable candidate for a Gong cha Franchised Business. You further acknowledge that Gong cha shall have the right to accept and consider Expression of Interest from other parties for the Territory.
You recognize and acknowledge the competitive value and confidential nature of all information provided by Gong cha to you, and that it is for the sole purpose of assessing the Gong cha Franchised Business and it shall under no circumstances be disclosed to a third party.
You acknowledge that Gong cha England neither vouches for nor guarantees the suitability of this site for the purpose or running a Gong cha outlet. During or after the site visit, Gong cha England would have mentioned both the potential benefits AND risks associated with the above location. The decision to operate in any particular location is decided by you and as such, all risks and responsibility associated with the suitability of the location for the purposes of running the business lies solely with you. Gong cha England will provide comments regarding the location but ALL sites are neither vouched for nor guaranteed to be suitable for running a Gong cha outlet. Gong cha England advise you to seek independent advisor before signing the lease.
You acknowledge that should Gong cha decide in its absolute discretion to offer you the opportunity to acquire a Gong cha Franchised Business, Gong cha will (subject to you signing an appropriate confidentiality agreement with Gong cha) issue you with a formal disclosure statement, draft franchise agreement and other information necessary for you to make an informed assessment as to whether to acquire a Gong cha Franchised Business . Gong cha shall have absolute discretion as to which (if any) of the parties who respond to the Expression of Interest process it elects to shortlist and then provide with formal disclosure documentation regarding the relevant franchise opportunity and the territory involved.
You acknowledge that Gong cha will not be bound to you in any respect in relation to the grant of a Gong cha Franchised Business unless and until a formal franchise agreement is entered into and then on the terms and conditions of that agreement.
You agree to pay to Gong cha an initial fee of £10,000.00 before the Franchise Agreement and disclosure documents are provided. This fee will be refunded to you if Gong cha decides you are not a suitable applicant or if you decide not to proceed with the Gong cha Franchised Business after you have been provided with the Franchise Agreement, Disclosure Statement and relevant documents. In the event that Gong cha have started to engage 3 rd parties to work on the project (given instructions from the franchisee), Gong cha will deduct the cost spent on the 3 rd parties plus £2,000.00, which is a non-refundable payment and will be retained by Gong cha to cover the administration costs and expenses in assessing your application.
Gong cha has up to a period of three months from the date of this Expression of Interest to provide you with the draft Franchise Agreement, Disclosure Statement and other relevant documents. This period may be extended by a further three months period at the sole discretion of Gong cha.
